Welcome to EDQuarters (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our platform, including our website, web applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a school or organization, you agree to these Terms on their behalf.

1. Eligibility & Account Responsibility

You must be an authorized staff member, student, or representative of a participating educational institution to use the Service.

• User Roles: Your access level is determined by your role (e.g., admin, teacher, student).
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
• Authorized Use: The Service must be used only for educational purposes and in accordance with your organization’s policies.

2. Acceptable Use

You agree not to:

• Access or use the Service for any unlawful purpose.
• Interfere with the Service or its servers, networks, or security features.
• Share login credentials, or impersonate another user without proper authorization.
• Upload malicious software or attempt to reverse-engineer any part of the platform.

We reserve the right to suspend or terminate access for violations of this policy.

3. Platform Access & Availability

We strive to provide continuous access to our Service. However, we may occasionally need to:

• Perform maintenance or updates.
• Limit access due to technical issues or emergencies.

We are not liable for any temporary service interruptions.

4. Intellectual Property

All content and technology used in the Service are owned or licensed by EDQuarters, LLC.

• You are granted a limited, non-transferable license to use the Service during the term of your agreement with your institution.
• You may not copy, distribute, or modify any part of the Service without our written permission.

5. Privacy & Student Data

We take privacy seriously. Use of our Service is subject to our Privacy Policy, which outlines how we collect, use, and protect personal and student information.

• We comply with FERPA, COPPA, and SOPPA.
• We will never sell student data or use it for non-educational purposes.

6. Third-Party Services

The Service may link or integrate with third-party tools. We are not responsible for third-party content or practices. Use of those services is subject to their terms and privacy policies.

7. Termination

We may suspend or terminate your access to the Service at any time if:

• You violate these Terms or applicable law.
• Your institution ends its agreement with us.

Upon termination, your access will be revoked, and we may delete your data as outlined in our retention policy.

8. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages.
• Your organization's total liability is limited to the amount your organization has paid for the Service in the last 12 months.

9. Modifications to Terms

We may update these Terms from time to time. If we make changes, wwe will notify your institution and/or post an update on our website. Continued use of the Service after changes constitutes acceptance of the new Terms.

10. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Cook County, Illinois.
